BAE Systems Ordnance Systems, Inc. seeks an experienced lawyer to join our team as a Senior Counsel. BAE Systems Ordnance Systems produces a full range of high-quality explosive and propellant products for the U.S. Department of Defense, Department of Energy, and commercial customers. Ordnance Systems is the operating contractor for the Holston Army Ammunition Plant located in Kingsport, TN, and for the Radford Army Ammunition Plant in Radford, VA. As Senior Counsel, you will be responsible for providing legal assistance to all levels of Company personnel on a wide variety of legal matters affecting the Company. A significant focus of this role will involve contracts, operations, and supply chain organization support. You will be required to utilize your business insight, as much as your legal knowledge, in collaborating with business leadership and functional organizations to meet customer requirements. The successful hire will ensure the business is compliant and ethical in its transactions and protect the company against potential claims and litigation. As a key member of the broader Platforms & Services legal team, you will report directly to the Deputy Chief Counsel, as well as assist the Vice President & Chief Counsel, and other members of our legal team on a diverse portfolio of matters. The right candidate will thrive in an atmosphere which requires daily interaction with business, program, functional, and legal employees.

Location/Schedule/Travel:
  • The candidate would ideally be located close to Radford, VA or Kingsport, TN but can be located anywhere in the US; though must work East Coast hours.
  • This is a Remote/Onsite Hybrid role where you can work from home and go onsite weekly/monthly, based on business needs.
  • This position will work on a 9/80 schedule where you will have every other Friday off.
  • This role will require up to 25% of travel.

Responsibilities:
  • Under general direction and in support of the Deputy Chief Counsel, this position will function in a generalist role on a diverse portfolio of matters, with a primary focus on U.S. Government contracts.
  • Provide sound, pragmatic legal advice and innovative/creative solutions on a wide range of business, contractual, and supply chain matters that facilitates the achievement of business objectives.
  • Apply strong knowledge of government and commercial contracting to provide legal advice to business and management personnel, and work closely and cooperatively with the Contracts, Supply Chain, Finance, and Programs organizations.
  • Assist the contracts and supply chain teams with negotiation and preparation of contractual documents and related matters including, but not limited to, contracts under the FAR/DFARS and other transaction authority, requests for equitable adjustments (REAs) and claims, subcontracts, prime contract flow-downs, protests, non-disclosure agreements, and teaming agreements, as well as support the business with technical interpretations of governing law and regulations.
  • Conduct legal research under minimum supervision and prepare written opinions based on that research.
  • Guide successful resolution of legal problems, examine various documents and data, and provide counsel to the business on the best course of action.
  • Participate in reviewing, interpreting, and drafting various company policies and procedures, including responsibility for developing new or enhancing existing contract templates, guidelines, policies, and training materials in support of the legal department's efforts to empower other functions to better assist the business areas they support.
  • Proactively research and report on changes in relevant laws, regulations, and industry standards, as well as track emerging trends.
  • Analyze, prepare, and review various matters to ensure protection of the interests of BAE Systems.
  • Consult with or refer matters to outside counsel, as required, and with a recommendation from the Deputy Chief Counsel.
  • Assist with analysis and advice regarding litigation and pre-litigation matters.
  • Advise on intellectual property rights, data rights under U.S. Government contracts, software license rights, and other intellectual property matters.
  • When directed, conduct internal investigations under the supervision of the Deputy Chief Counsel.

  • Accept other tasks as assigned by the Vice President, Chief Counsel, or the Deputy Chief Counsel.


Required Education, Experience, & Skills
  • 8+ years of legal experience in a law firm, in-house, or government setting.
  • Possess a Juris Doctor (JD) Degree, along with strong undergraduate school credentials.
  • Hold a license to practice law in at least one United States jurisdiction.
  • Current active Secret clearance or the ability to obtain such a clearance.
  • In-depth knowledge of Government Contracts law including the Federal Acquisition Regulation, Defense Federal Acquisition Regulation Supplement, and the Contract Disputes Act.
  • Must be a self-starter, able to manage and prioritize a multitude of complex and challenging situations with little supervision.
  • Dedication to the Platforms & Services mission of serving the U.S. military and its allies.
  • Excellent verbal and written communication skills, along with the ability to collaborate with executives and employees at all levels.
  • Willingness to improve, enhance, and grow your technical proficiencies, as well as continue developing professionally.
  • High moral compass with unquestioned integrity and ethics.
  • Demonstrated record of leadership and team skills.


Preferred Education, Experience, & Skills
  • Experience at a defense, engineering, aerospace, or other technology company, including knowledge of, or experience with, military customers a plus.
  • Experience in risk management a plus.
  • Knowledge of subjects related to Government Contracts law, including knowledge of, or experience with, military customers a plus.
  • Knowledge of construction or environmental law a plus.
